General Terms and Conditions

These General Terms and Conditions (GTC) govern the use of the online shop at shop.synoptic.ch and all purchases and quote requests made through it. The shop is operated by Synoptic AG (the "Provider").
1. Scope and provider
These GTC apply to all orders and quote requests placed via shop.synoptic.ch. The Provider is Synoptic AG, c/o Joshua Larsch, Limmatstrasse 118, 8005 Zürich, Switzerland.
The shop is aimed primarily at businesses, research institutions and public bodies. Where the customer is a consumer, mandatory consumer-protection provisions remain unaffected.
2. Products and quote-only model
Most products are enterprise items displayed without a price and marked "Request pricing". For these, submitting the form sends a non-binding quote request; a contract is concluded only once we issue a written order confirmation.
For items offered as directly purchasable, the standard cart and checkout process applies.
Product descriptions, images and specifications are provided with care but are not warranted to be free of error.
3. Prices
Prices are stated in Swiss francs (CHF). Whether prices are shown excluding or including VAT is indicated at checkout; shipping and any duties are charged in addition unless stated otherwise.
We reserve the right to correct obvious pricing or typographical errors.
4. Conclusion of contract
For purchasable items, a contract is concluded when you complete checkout and we confirm the order.
For quote-only items, a contract is concluded when we confirm your request in writing (including by email).
5. Payment
Card payments and TWINT are processed through the Shopify-hosted checkout. For quotations and invoiced orders, payment terms are as set out in the respective offer or invoice.
6. Delivery and shipping
We ship within Switzerland and, where agreed, to the EU. Stated lead times are indicative and not binding unless expressly confirmed.
Risk passes to the customer upon handover of the goods to the carrier or upon collection.
7. Retention of title
Delivered goods remain the property of Synoptic AG until full payment of the purchase price has been received.
8. Returns and right of withdrawal
Swiss law provides no general statutory cooling-off period for online sales between businesses.
As a goodwill policy, unused goods in their original, undamaged packaging may be returned within 14 days of delivery, at our discretion; please contact us before sending anything back. Custom-configured or specially procured items are excluded from returns.
Where the customer is an EU consumer, the statutory 14-day right of withdrawal may apply.
9. Warranty
Statutory warranty for defects applies in accordance with the Swiss Code of Obligations. Where manufacturers (e.g. Unitree, Hesai) provide their own warranty, it is passed through to the customer.
10. Liability
To the extent permitted by law, the Provider's liability is limited to direct damage caused by intent or gross negligence; liability for indirect or consequential damage is excluded. Mandatory statutory liability (including for personal injury) remains unaffected.
11. Export control and dual use
Some products may be subject to export-control or dual-use regulations. The customer is responsible for complying with all applicable export, import and end-use rules in the destination country.
12. Data protection
We process personal data in accordance with our Privacy Policy, available at /privacy.
13. Governing law and jurisdiction
These GTC and all resulting disputes are governed by Swiss law, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).
The exclusive place of jurisdiction is Zürich, Switzerland, subject to any mandatory place of jurisdiction for consumers.
